RIO is an AI-powered business communication platform designed to automate conversations, workflows, and decisions while keeping humans fully in control.

3. Eligibility & Account Registration

You must be at least 18 years old and legally capable of entering into contracts to use the Services.

To access certain features, you must create an account and register an Institution. You agree to provide accurate, complete, and up-to-date information and to keep your account credentials secure.

You are responsible for all activity that occurs under your account.

4. Scope of Services

RIO provides AI-powered tools that enable businesses to:

• Automate customer conversations
• Handle inquiries, orders, appointments, and complaints
• Operate across chat, voice, social media, email, and SMS
• Enable AI + human collaboration
• Manage workflows through a unified dashboard

RIO may update, modify, or enhance the Services over time.

5. AI Functionality & Human Control

RIO is designed with AI safety and human oversight at its core:

• AI responses are generated only from approved business content
• RIO does not invent or infer information beyond provided knowledge
• Human takeover is always available
• Admins retain full control over AI behavior and services
• AI responses may vary based on configuration and context

You acknowledge that AI-generated responses may not always be accurate or appropriate and should be reviewed when required.

6. Customer Data & Data Ownership

You retain ownership of all Content you submit to the Services.

By using RIO, you grant us a limited, non-exclusive license to process your Content solely for the purpose of providing the Services.

RIO acts as a data processor for customer communications handled on behalf of businesses.

RIO does not use customer data to train public or shared AI models.

7. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Transmit unlawful, harmful, abusive, or fraudulent content
• Infringe intellectual property or privacy rights
• Distribute malware or malicious code
• Misrepresent AI responses as human when legally required to disclose automation
• Attempt to bypass system limits, safeguards, or usage controls

We reserve the right to suspend or terminate accounts that violate these rules.

8. Third-Party Services & Integrations

RIO may integrate with third-party platforms (e.g., messaging channels, payment providers, analytics tools).

We are not responsible for the availability, security, or content of third-party services. Your use of such services is subject to their respective terms.

9. Fees, Usage & Billing

Certain Services require payment.

• Pricing is usage-based unless otherwise stated
• Monthly budgets may be set by admins
• Usage alerts may be provided at defined thresholds
• RIO may pause or restrict Services if limits are reached

All fees are non-refundable unless required by law or explicitly stated.

10. Intellectual Property

All rights, title, and interest in the RIO platform, software, designs, trademarks, and documentation remain the exclusive property of RIO.

These Terms do not grant you any ownership rights in RIO intellectual property.

11. Confidentiality

Confidential information does not include information that is publicly available or independently obtained.

12. Security & Availability

However, you acknowledge that:

13. Service Modifications & Suspension

• Suspend or terminate accounts for violations

14. Termination

You may stop using the Services at any time.

RIO may terminate or suspend access immediately if you violate these Terms or applicable laws.

Upon termination, your right to use the Services will cease.

15. Disclaimer of Warranties

To the maximum extent permitted by law, RIO disclaims all warranties, including:

Use of the Services is at your own risk.

16. Limitation of Liability

• RIO shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability shall not exceed the amount paid by you to RIO in the preceding 12 months.

You agree to indemnify and hold harmless RIO from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your Content
• Your violation of these Terms
• Your interactions with customers or third parties
